All terms refer to the offer acceptance and consideration of payment necessary to undertake the process of our assistance to the Client in the most appropriate manner, whether by formal meeting of a fixed duration, or any other means, for the express purpose of meeting the Client’s needs in respect of provision of the Company’s stated services/products in accordance with and subject to, prevailing English Law. Any use of the above terminology or other words in the singular, plural, capitalization and/or he/she or they, are taken interchangeable and therefore as referring to same

3. Use License
a. 4. Non-Disclosure/Confidentiality
Since the user shall receive certain confidential disclosures of SERVICES from HBLI during its relationship with HBLI, the User expressly agrees that the following terms and conditions shall govern User’s use of the SERVICES:
- A. User acknowledges that he/she will be receiving confidential and valuable SERVICES
- B. User may use the SERVICES but User acknowledges and agrees that the SERVICES are and shall remain the sole property of HBLI
- C. User agrees to retain for User’s personal use only all materials relating to the SERVICES including but not limited to prototypes, reports, drawings, tools, notes, equipment, plans, proposals, and any reproductions.
5. Indemnity
The user agrees to defend, indemnify, and hold harmless Home Base Learning Institute also known as HBLI, and its officers, directors, employees, independent contractors, instructors, trainers and their related companies, from and against all damages, liabilities, costs, losses, expenses, claims, and/or judgments, including legal costs and reasonable attorney’s free, and disbursements which any of them may incur or become obligated to pay arising out of or resulting from (i) the activities of the User; (ii) the breach by the User of any of its representation, warranties, covenants, obligations, agreements or duties; including but not limited to infringement of SERVICES as acquired under these terms of use, and (iii) claims of injury or otherwise arising from the SERVICES pursuant to these terms and conditions of use.
6. Effort Based
The User understands, acknowledges, and agrees that the value User will derive from the SERVICES provided is directly proportionate to the User’s comprehensive engagement and use of such SERVICES purchased, individual monetary investment and level of desire and willingness to take action on the SERVICES provided herein. HBLI does not hereby, has not, cannot, and will not make any guarantee of User’s success whether implicit or implied. The User understands that this is a SERVICES only agreement, and no earnest or money claims have been made by HBLI with regards to the SERVICES provided by HBLI. User is only a purchaser and client of such SERVICES provided by Home Base Learning Institute.
7. Limitations
In no event shall Home Base Learning Institute or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption,) arising out of the use or inability to use the materials on Home Base Learning Institute's Internet site, even if Home Base Learning Institute or a Home Base Learning Institute authorized representative has been notified orally or in writing of the possibility of such damage. Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.

Home Base Learning Institute has not reviewed all of the sites linked to its Internet web site and is not responsible for the contents of any such linked site.
